The Board of Directors is responsible for the corporate governance of Police & Nurses Limited (PNL) and its controlled entities. It acts in accordance with the Constitution of PNL.

The following people currently hold office as Directors of PNL. Each Director holds one share.
Gary Humphreys - Chair
GAICD AMP173 (Harvard)
Gary is a former Director of the BCU Bank Board. In previous roles Gary was the Deputy CEO and Chief Operating Officer of Essential Energy (Australia’s largest electricity distribution network). Prior to this Gary was a senior Executive with Country Energy and Advance Energy, both electricity companies based in regional and rural NSW. Before joining the electricity industry he had ten years in the banking industry with the State Bank of NSW and Colonial.
Gary brings over 20 years of experience leading and operating large corporations with a proven track record in the areas of corporate governance, strategic planning, financial management, and customer service.
Gary lives in Port Macquarie and is an active member of the local community, and in particular local sporting associations. He also holds several other Directorship roles including the non-for-profit organisation Cancer Patients’ Assistance Society of NSW.
Joined the Board in 2019. Ex officio member of the Audit and Sustainability, Risk and Board Governance & Remuneration Committees.
Louise Clarke

Louise is a former Director of the BCU Bank Board. She is a senior leader who brings over 30 years’ experience from the financial services sector working with companies State Street Bank and Trust Company, Schroders Australia, and Ernst and Young.
Louise’s early career focussed on operational management roles, and in later years in Senior Executive positions in Australia and Asia. As the COO for State Street Bank in Sydney, Louise worked with local regulators implementing frameworks around ethical values, risk and culture. Louise’s passion for developing people and building teams around culture has led her into executive and leadership coaching. In this role Louise works with leaders and teams to support organisational change.
Louise has held Non-Executive director roles with the Australian Payments Clearing Association and the Australian Financial Markets Operations Association.
Joined the Board in 2019. Member of the Audit and Sustainability Committee and Chair of the Board Governance & Remuneration Committee.
Kellie Properjohn APM
Assoc Degree Criminology & Justice, Grad Certificate of Business (Leadership), GAICD
Previously the Assistant Commissioner, WA Police with 36 years of service spanning strategy, technology, operations and legislative reform. Kellie more recently was a Partner of Deloitte Touche Tohmatsu leading the government practice. Kellie has a passion for business transformation and strengthening organisational culture to drive performance outcomes.
She rejoined the Board in October 2024 after a previous Board tenure of four years. Member of the Board Governance & Remuneration Committee, Audit & Sustainability Committee and Risk Committee.
Trevor Hunt

Trevor is an experienced retail banking and financial services professional with over 30 years operating in Australia in banking and senior executive positions and over 18 years as a non-executive director across banking, superannuation, financial planning, and mortgage broking.
Risk Committee Chair and Board Governance and Remuneration Committee member.
Monish Paul
MAICD MBA BBus
Monish is a professional with over 25 years’ experience in corporate strategy, technology, reglation and public policy across a range of industries both in the public and private sector. With substantial executive experience working for IBM, Deloitte, Arthur Andersen, and the Federal and WA State Governments, Monish has advised ASX 200 clients on the intersection of technology and business reinvention in Australia, spanning design, development and execution to transform organisations.
Current or former Board Director for Western Power, Landgate, and Therapy Focus St John Ambulance WA, and former Chair of the P&N Bank Brand Advisory Council.
Joined the Board in 2022. Audit and Sustainability Committee Chair and Risk Committee member.
Andrew Hadley
CEO & Executive Director
Chief Executive Officer of Police & Nurses Limited (PNL) since 2014, Andrew’s knowledge and experience has been gained from more than 25 years in the financial services industry.
In his early career, Andrew led the retail banking network for Australia’s largest customer-owned financial institution before taking on other group executive roles in strategy, marketing, and operations.
Andrew has a Bachelor of Commerce degree from the University of Western Australia (1990), a Graduate Diploma of Applied Finance and Investment from Finsia (2004) and has also completed the Senior Executive Program at London Business School (2009). He is also a member of CEOs for Gender Equity (WA).
