Annual General Meeting

Each year we hold an Annual General Meeting (AGM) to engage with our members about the performance and future of Police & Nurses Limited.

The AGM of Police & Nurses Limited (ACN 087 651 876) is usually held in October. 

The location for the AGM is chosen each year with a view to giving members a fair chance to participate.  A view-only webcast is also usually made available for members who cannot attend the meeting.  

Information relating to upcoming and past AGMs can be found below. 

The Annual General Meeting of Police & Nurses Limited (ACN 087 651 876) will take place on Tuesday 29 October 2024, at 12:00noon (AWST) (3pm (AEDT)).

The Meeting will be held at Fremantle Ballroom, Four Points Sheraton, 707 Wellington Street, Perth WA 6000. RSVPs are encouraged – details below.

For any members unable to attend the Meeting in person, a live webcast of proceedings will be available. The webcast will be “view only” and will not form part of the formal Meeting. Accordingly, member webcast viewers will not be able to ask questions during the Meeting. To view the webcast, you will be required to register your interest online.  This may be done in advance any time from Thursday 26 September 2024.

Meeting information will be distributed to members from Thursday 26 September 2024.

Please note that in accordance with the Treasury Laws Amendment (2021 Measures No. 1) Act 2021 (Cth), the Company will not be dispatching physical copies of the Notice of Meeting. A copy of the Notice is available to download below.

There are no resolutions in the Notice of Meeting that require a member vote this year.

Therefore, no voting form or voting website has been produced this year – and there is no need for members to vote in advance of the meeting.

Police & Nurses Limited encourages our members to receive documents electronically which is quicker and has less impact on the environment. 

Members have the right to elect whether and how they would like to receive documents such as Annual Reports and Notices of Meeting, as follows:

  • members can make a standing election to receive any or all of the documents in physical or electronic form;
  • members can make a one-off request to receive any or all of the documents in physical or electronic form; and members can elect not to be sent the Annual Report.

Elections and requests should be made by notifying us by email or calling 1300 228 228.

Unless stated otherwise, the documents in respect of which elections and requests can be made include:

  • documents relating to a meeting of members, such as notices of meeting and proxy forms;
  • the Annual Report (comprising the annual financial report, directors’ report and auditor’s report);
  • a notice of members’ rights under section 110K of the Corporations Act 2001 (Cth) (Corporations Act), unless the notice is made available on our website; and
  • any other documents prescribed by relevant regulations.

Following the passing of the Corporations Amendment (Meetings and Documents) Act 2022 in February 2022, Police & Nurses Limited will now issue notices of annual and general meetings electronically where a member has provided a valid email address and has not made an election to receive a paper copy of these documents.

The Annual General Meeting of Police & Nurses Limited (ACN 087 651 876) was held on Tuesday 24 October at 12pm AWST (3pm AEDT and 2pm AEST).

AGM results
Following the Annual General Meeting of the members of Police & Nurses Limited (ACN 087 651 876) held on Wednesday 18 November 2020, we are pleased to share the following results from the five resolutions put to members.

For an amendment to the Constitution to be passed, at least 75% of the votes cast by members entitled to vote must be in favour of the proposed resolution.
